The Comparable Companies & Precedent Transactions Analysis Training Course provides a comprehensive and practical framework for applying market-based valuation techniques to companies, investment opportunities, and merger and acquisition transactions. The course focuses on two widely used relative valuation approaches: comparable companies analysis and precedent transactions analysis. Participants will learn how to identify appropriate comparables, normalize financial information, calculate valuation multiples, interpret market differences, and translate market evidence into a defensible valuation range. The program develops the analytical skills required to determine whether companies are genuinely comparable rather than relying solely on industry classification. Participants will assess business models, revenue characteristics, growth rates, profitability, size, capital structure, geographic exposure, risk profile, and other value drivers when selecting comparable companies. Particular emphasis is placed on understanding how differences between companies can influence valuation multiples and how those differences should be considered when interpreting results. The course also provides a structured approach to precedent transactions analysis, including the selection of relevant historical transactions, assessment of transaction characteristics, analysis of purchase prices and transaction values, and calculation of transaction multiples. Participants will examine how transaction size, timing, market conditions, buyer characteristics, strategic rationale, control premiums, and transaction-specific circumstances can influence observed valuation multiples. Through practical exercises, valuation cases, transaction analysis workshops, and sensitivity assessments, participants will learn how to combine comparable companies and precedent transactions analysis to develop meaningful valuation ranges. The course supports investment, corporate finance, business development, and transaction teams in producing more disciplined valuation analysis and providing senior management and investment committees with evidence-based insights for investment, acquisition, and strategic decision-making.
