Course Overview

Structured Commodity Finance for Banks and Traders is a specialized professional training course designed for bank commodity desks, structured trade finance teams, commodity traders, and energy, metals, and agricultural companies that finance physical commodity flows. Unlike general trade finance, structured commodity finance lends against the commodity itself and the cash it generates, so the lender's protection depends on controlling goods, documents, contracts, and sale proceeds from production to final payment. Documentary credit and guarantee mechanics are treated as prior knowledge and are not repeated here. The course builds a complete view of the main commodity finance structures used by banks and traders. Participants examine pre-export finance for producers secured on export contracts, prepayment finance between traders and offtakers, borrowing-base facilities for trading companies, inventory and warehouse receipt finance, tolling finance for refiners, smelters, and processors, and commodity repo and sale-and-buyback structures. Each structure is analyzed through its cash flow waterfall, security package, documentation, and points of failure. The program then focuses on collateral and risk control. Participants learn how collateral managers, inspection companies, and stock monitoring agreements work in practice, how eligibility criteria, advance rates, haircuts, and margin calls protect the lender, and how commodity price risk is mitigated through hedging requirements and assignment of hedge proceeds. The course also covers performance, country, legal, and fraud risks, including duplicate warehouse receipts and fictitious stock. Through deal case studies, borrowing-base calculations, structuring exercises, and credit committee simulations, participants will strengthen their ability to design, approve, document, and monitor commodity facilities. By the end of the course, participants will be able to structure self-liquidating commodity transactions that protect the bank, meet the client's working capital needs, and support sound commodity portfolio growth.

Learning Objectives

  • Analyze physical commodity value chains in energy, metals, and agriculture and identify where structured finance adds value by the end of the course.
  • Distinguish transactional, self-liquidating commodity lending from balance-sheet lending to traders and producers.
  • Structure pre-export and prepayment facilities secured on offtake contracts, assigned receivables, and controlled collection accounts.
  • Design borrowing-base facilities with clear eligibility criteria, advance rates, concentration limits, and reporting requirements.
  • Evaluate inventory and warehouse receipt finance, including the role of collateral managers and stock monitoring agreements.
  • Compare tolling, repo, and sale-and-buyback structures and select the right structure for each client situation.
  • Apply haircuts, marking to market, and margin call mechanisms to protect the lender against commodity price movements.
  • Assess performance, country, legal, and fraud risks and build appropriate mitigants into the facility documentation.
  • Prepare credit proposals for commodity facilities that present the structure, security package, and key risks clearly to credit committees.
  • Implement monitoring, early warning, and workout procedures that keep commodity portfolios sound before course completion.

Who Should Attend

This course is designed for Structured Trade and Commodity Finance Managers, Commodity Desk Bankers, Relationship Managers, Credit Analysts and Credit Approvers, Collateral and Inventory Control Officers, Trade Operations Managers, Risk Managers, Legal Counsel, Treasury and Finance Managers of trading companies, Commodity Traders, Deal Structurers, Internal Auditors, and professionals responsible for financing physical commodity flows. The program is equally valuable for professionals working in commercial and development banks, oil and gas producers and refiners, metals and mining companies, agricultural exporters and processors, national oil companies, commodity trading houses, export credit agencies, and ministries overseeing strategic commodities. Bankers and traders who already know documentary credits and want to move into structured commodity deals will benefit most.

Learning Outcomes

  • By the end of this course, participants will be able to:
  • Explain how structured commodity finance differs from general trade and corporate lending.
  • Map commodity flows, title transfer, and cash flows to identify the lender's control points.
  • Structure pre-export and prepayment facilities with sound offtake, assignment, and collection arrangements.
  • Calculate a borrowing base using eligibility criteria, advance rates, haircuts, and concentration limits.
  • Evaluate warehouse receipt and inventory finance and the reliability of collateral management arrangements.
  • Select between tolling, repo, and sale-and-buyback structures for a given client and commodity.
  • Apply margin call and hedging requirements to protect facilities against commodity price movements.
  • Identify performance, country, legal, and fraud risks and the documentation that mitigates them.
  • Present commodity facility proposals clearly and convincingly to credit committees.
