Course Overview

Related party transactions require robust governance to ensure transparency, fairness, regulatory compliance, and the protection of organizational and shareholder interests. This course examines the governance principles, legal considerations, and disclosure requirements that apply to transactions involving directors, executives, shareholders, affiliated entities, subsidiaries, and other related parties. Participants will develop practical skills to identify related parties, assess potential conflicts of interest, evaluate transaction terms, establish appropriate approval procedures, and maintain reliable documentation. The programme addresses key controls for assessing whether transactions are conducted on an arm’s-length basis and whether their commercial rationale and financial implications are adequately supported. The course also explores disclosure obligations, financial reporting considerations, internal controls, audit responsibilities, and board oversight.
