Course Overview

The Real Estate Contracts & Dispute Management Training Course equips property managers, legal advisers, developers, and public officials with the practical knowledge needed to structure, review, and manage the contracts that govern real estate, and to handle the disputes that arise from them. Across the Gulf and Africa, property transactions involve long time horizons, large commitments, many parties, and legal systems that treat ownership and tenancy in different ways. A vague clause on area, handover, service charges, or termination can remain unnoticed for a long time and then become a costly dispute between a developer and its buyers or a landlord and its tenants. This course focuses on the real estate application of contract and dispute management. It does not teach general commercial contract law, and it does not cover construction contracts, contractor claims, or standard building forms. Its subject is the property agreement itself: sale and purchase contracts, off-plan sale agreements, commercial and residential leases, ground leases, brokerage mandates, property and facilities management agreements, joint development arrangements, and the documents governing owners associations. Participants learn to read these agreements from a risk perspective, examining title and due diligence, payment structures, conditions, area and specification variations, handover and defects, delay, force majeure, liquidated damages, assignment, default, and termination. The second half of the program turns to disputes: how they start, how evidence should be preserved, and how to choose between negotiation, mediation, expert determination, arbitration, and the courts. Participants consider the UNCITRAL Model Law on International Commercial Arbitration and the New York Convention as international reference points, while recognizing that property rights and tenancy matters often fall under local rules and special committees, so local legal counsel remains essential. The course is delivered through case studies, clause review exercises, negotiation simulations, a mock mediation, and a final dispute strategy workshop. Participants leave with a real estate contract review checklist, a clause risk matrix, a dispute escalation procedure, an evidence file template, and a dispute resolution strategy they can adapt to their own organizations.

Learning Objectives

  • Explain how real estate contracts differ from general commercial agreements and from construction contracts.
  • Identify the main contract types used across the sale, leasing, and management of property.
  • Carry out contract-focused due diligence on title, authority to sign, encumbrances, and planning status.
  • Review sale and purchase agreements for price, payment, conditions, transfer, and default provisions.
  • Assess off-plan sale agreements for area, specification, delay, handover, and buyer remedies.
  • Analyze commercial and residential leases, including rent review, service charges, and renewal.
  • Evaluate ground leases, joint development arrangements, and property management agreements.
  • Draft and negotiate clear clauses on force majeure, liquidated damages, assignment, and termination.
  • Manage contracts after signature through obligations registers, notices, and variation records.
  • Recognize the early signs of a real estate dispute and apply a structured escalation procedure.
  • Preserve documents, correspondence, and other evidence in a form that supports the organization's position.
  • Compare negotiation, mediation, expert determination, arbitration, and litigation for property disputes.
  • Develop a dispute resolution strategy and clause set suited to the organization's real estate portfolio.

Who Should Attend

This course is designed for real estate legal counsel, contract managers, property and asset managers, leasing managers, sales and customer relations leaders, and development managers who prepare, negotiate, or administer property agreements. It is equally relevant for officials in land departments, municipalities, housing ministries, and real estate regulators, and for members of committees that handle tenancy or property complaints and need a practical view of how such disputes arise. Professionals in developers, property management companies, real estate funds, banks and mortgage lenders, owners associations, and government-related landlords across the Gulf and Africa will find the course directly applicable. It is particularly valuable for non-lawyers who manage property contracts daily, for lawyers moving into real estate work from other fields, and for public bodies that lease or sell property and want fewer disputes with tenants and buyers.

Learning Outcomes

  • By the end of this course, participants will be able to:
  • Explain what distinguishes real estate contracts from general and construction agreements.
  • Complete contract-focused due diligence before a property transaction.
  • Review sale and purchase agreements and flag the main risk clauses.
  • Assess off-plan agreements for delay, area, specification, and handover risks.
  • Analyze commercial leases and identify rent, service charge, and exit issues.
  • Negotiate clearer wording on force majeure, liquidated damages, and termination.
  • Administer property contracts using obligations registers and formal notices.
  • Apply an escalation procedure when early signs of a dispute appear.
  • Build an orderly evidence file of documents, notices, and correspondence for a property dispute.
