Course Overview

The Procurement Governance & Compliance Training Course equips procurement leaders, compliance professionals, and governance practitioners with the frameworks and practical tools needed to ensure that procurement is conducted transparently, fairly, accountably, and in full compliance with applicable laws, regulations, and internal policies. In government entities, ministries, banks, oil and gas companies, and large corporations, procurement decisions are subject to close scrutiny from leadership, boards, auditors, regulators, suppliers, and the public. Strong procurement governance protects the organization from legal and reputational risk while enabling efficient, value-driven procurement. Many organizations have procurement laws, policies, and procedures in place, but governance weaknesses still occur. Delegations of authority may be unclear or outdated, procurement committees may lack defined mandates, exceptions and direct awards may be approved without adequate justification, documentation may be incomplete, and compliance may be assessed only when auditors arrive. Policies may also fail to keep pace with new regulations, digital procurement, sustainability and local content requirements, and evolving expectations around integrity and third-party oversight. This course provides a structured approach to designing and operating an effective procurement governance and compliance framework. Participants learn the core principles of good procurement governance, including transparency, accountability, competition, fairness, integrity, and value for money, and how these translate into governance structures, roles, committees, and delegations of authority. The program covers developing and maintaining procurement policies, procedures, and thresholds; managing compliance with public procurement laws, sector regulations, anti-bribery requirements, sanctions, and data protection obligations; controlling exceptions, waivers, and direct awards; and maintaining complete procurement records and audit trails. Participants also learn how to design a compliance management approach informed by recognized standards such as ISO 37301 for compliance management and ISO 37001 for anti-bribery management, conduct compliance monitoring and testing, prepare for audits, manage supplier complaints and challenges, and report governance and compliance performance to senior leadership and boards. Throughout the five days, participants apply each concept to their own procurement environment. They leave with a governance structure review, a delegation of authority assessment, a policy and procedure gap analysis, an exceptions control checklist, a compliance monitoring plan, a governance reporting dashboard, and a procurement governance improvement plan.

Learning Objectives

  • Analyze the principles of good procurement governance, including transparency, accountability, competition, fairness, integrity, and value for money, on Day 1.
  • Evaluate the participant's current procurement governance structures, roles, and committees for clarity, independence, and effectiveness.
  • Design a delegation of authority framework that defines approval limits, responsibilities, and escalation for procurement decisions.
  • Assess procurement policies, procedures, thresholds, and procurement methods for completeness, consistency, and alignment with applicable regulations.
  • Develop a regulatory compliance map covering public procurement laws, sector regulations, anti-bribery requirements, sanctions, and data protection obligations relevant to procurement.
  • Implement controls for managing exceptions, waivers, single-source procurement, and direct awards with clear justification and approval.
  • Apply documentation and record-keeping standards that ensure a complete and defensible audit trail for each procurement.
  • Design a procurement compliance management approach informed by ISO 37301 and ISO 37001 principles.
  • Develop a compliance monitoring and testing plan, including sample-based reviews, key compliance indicators, and corrective action tracking.
  • Implement fair and transparent processes for handling supplier complaints, challenges, and debriefings.
  • Align procurement governance with enterprise risk management, internal audit, and the three lines model, and design governance reporting for senior leadership and boards.
  • Design a procurement governance and compliance improvement plan for the participant's organization by the end of Day 5.

Who Should Attend

This course is designed for procurement and supply chain directors, heads of procurement, procurement managers, contracts managers, and members and secretaries of tender boards and procurement committees responsible for procurement decisions and oversight. It is also highly relevant for compliance officers, governance professionals, internal auditors, risk managers, and legal advisors who support or oversee procurement activities. It is particularly valuable for professionals in ministries and government entities operating under public procurement laws, financial regulations, and oversight by audit and anti-corruption bodies; in banks and financial institutions managing procurement and outsourcing within regulatory frameworks for third-party risk and corporate governance; and in oil and gas and industrial organizations managing high-value contracts, joint venture procurement requirements, local content obligations, and complex approval structures. Finance directors, board and committee secretaries, and senior executives who approve procurement policies and major awards will also benefit from the course.

  • By the end of the course, participants will be able to:
  • Explain how strong procurement governance supports value for money, integrity, and institutional reputation.
