Course Overview

The Contract Risk Management & Compliance Training Course provides a comprehensive framework for identifying, assessing, mitigating, and monitoring risks throughout the contract lifecycle. The programme focuses on strengthening contractual governance, improving compliance with legal and regulatory requirements, and protecting organizational interests during contract drafting, negotiation, execution, performance, amendment, and termination. Participants explore the relationship between contract management, enterprise risk management, legal compliance, commercial objectives, and internal controls. The course examines contractual obligations, liability allocation, indemnities, warranties, limitation of liability, payment terms, performance guarantees, termination rights, and dispute resolution mechanisms, with an emphasis on identifying provisions that may expose organizations to financial, operational, legal, and reputational risks. The programme also addresses compliance risks associated with procurement, third-party relationships, regulatory obligations, conflicts of interest, anti-bribery requirements, confidentiality, data protection, and recordkeeping. Participants learn to apply structured risk assessment methodologies, develop contract risk registers, establish compliance controls, define escalation procedures, and monitor contractual performance using appropriate indicators and reporting mechanisms. Through practical case studies, contract reviews, negotiation exercises, and risk-based scenarios, participants develop the capabilities needed to anticipate contractual issues, strengthen internal accountability, and support informed commercial decisions. The course emphasizes practical implementation, cross-functional coordination, and continuous improvement across legal, procurement, finance, operations, compliance, and contract management functions.
