Course Overview

The Contract Law for Non-Lawyers Training Course equips managers, procurement professionals, project leaders, and specialists with a clear and practical understanding of the legal principles that govern contracts, enabling them to negotiate, review, manage, and enforce agreements with confidence and to recognize when specialist legal advice is required. In government entities, ministries, banks, healthcare systems, energy and utility companies, manufacturing, construction, and service organizations, and large corporations, contracts define rights, obligations, risks, and remedies for almost every significant transaction. Many of the people who negotiate and manage these contracts are not lawyers, yet their decisions and actions can create binding commitments and significant legal exposure. Common problems arise from gaps in basic contract knowledge. Commitments may be created unintentionally through letters of intent, emails, or conduct, key clauses on liability, indemnities, warranties, and termination may be accepted without understanding their effect, supplier terms may override the organization's own conditions, and obligations may be varied informally without proper authority. When problems occur, non-legal staff may not know what remedies are available, what notices must be given, or how their own statements and actions could affect the organization's legal position. This course provides a practical, plain-language guide to contract law principles that apply across legal systems, with attention to the differences between common law and civil law approaches where relevant. Participants learn how contracts are formed, including offer, acceptance, consideration or cause, intention, capacity, legality, and formal requirements, and the legal status of pre-contract documents such as letters of intent, memoranda of understanding, and non-disclosure agreements. The program covers contract structure and terms, express and implied terms, interpretation, representations and misrepresentation, and factors that can affect the validity of a contract. It then addresses key commercial clauses, including scope and specifications, payment, warranties, limitation and exclusion of liability, indemnities, liquidated damages, force majeure and hardship, confidentiality, intellectual property, data protection, assignment and subcontracting, variation, termination, governing law, and dispute resolution. Participants also learn about performance and breach, available remedies, electronic contracts and signatures, authority to contract, special considerations for public sector contracts, practical contract review techniques, and how to work effectively with legal advisors. The course provides general legal knowledge and does not replace legal advice on specific matters or jurisdictions. The course is delivered through an interactive, application-focused approach with clause reviews, case studies, and practical exercises based on realistic contract scenarios. Participants leave with a contract formation checklist, a key clauses reference guide, a contract review checklist with common red flags, a breach and remedies decision guide, and a personal action plan for applying contract law principles in their role.

It is particularly valuable for professionals in ministries and government entities managing public contracts, service agreements, and partnerships; in banks and financial institutions managing outsourcing, technology, and service provider contracts; in healthcare systems managing supply, equipment, and service agreements; and in energy, utilities, manufacturing, construction, retail, and service organizations managing commercial, supply, and project contracts.
