Course Overview

The Contract Drafting & Commercial Terms Training Course equips contract, procurement, commercial, and legal support professionals with the practical skills needed to draft clear, balanced, and enforceable contracts and to structure commercial terms that protect the organization while enabling successful delivery. In government entities, ministries, banks, healthcare systems, energy and utility companies, manufacturing, construction, and service organizations, and large corporations, contracts are the primary tool for defining what will be delivered, at what price, to what standard, and with what consequences if things go wrong. Poorly drafted contracts create ambiguity, disputes, cost overruns, and unmanaged risk, even when the underlying commercial deal is sound. Common drafting problems include vague scopes of work and specifications, inconsistent or undefined terms, commercial terms that do not match the negotiated deal, pricing and payment provisions that are open to interpretation, missing mechanisms for change, acceptance, and performance management, and liability, indemnity, and termination clauses copied from templates without adjustment to the specific risks. Contracts may also contain conflicts between documents, unclear order of precedence, weak exit provisions, and inconsistencies between language versions in bilingual agreements. Many of these issues are only discovered when a dispute arises. This course provides a structured, practical approach to drafting contracts and commercial terms. Participants learn the principles of clear and precise drafting, including plain language, consistent use of defined terms, correct use of obligation and discretion wording, and avoiding ambiguity. The program covers contract architecture, including recitals, definitions, operative provisions, schedules, and order of precedence, and how to translate negotiated heads of terms into contract language. Participants then learn to draft key operational and commercial provisions, including scope of work, specifications, service level agreements and KPIs, pricing models such as fixed price, unit rates, cost reimbursable, and target cost arrangements, payment terms, price adjustment, delivery and acceptance, warranties, limitation of liability, indemnities, insurance, liquidated damages and service credits, performance security, intellectual property, confidentiality, data protection, change control, suspension, termination and exit, force majeure, governing law, dispute resolution, and standard boilerplate clauses. The course also addresses using templates and clause libraries effectively, drafting bilingual contracts, redlining and negotiating drafts, version control, and working with legal advisors. The course builds practical drafting skills and does not replace legal advice on specific matters or jurisdictions. The course is delivered through an interactive, hands-on approach with drafting exercises, clause redrafting, redline reviews, and case studies based on realistic commercial scenarios. Participants leave with a drafting style guide, a contract structure template, a scope of work and SLA drafting template, a pricing and payment terms guide, a key clauses drafting checklist, and a contract review and redlining checklist.

Who Should Attend

This course is designed for contract managers, contracts administrators, procurement and commercial managers, category managers, and sourcing specialists who prepare, negotiate, or review contracts. It is also highly relevant for legal assistants, paralegals, junior lawyers, and in-house legal support staff who draft contract documents, and for project managers, technical specialists, and business owners who prepare scopes of work, specifications, and service requirements. It is particularly valuable for professionals in ministries and government entities preparing public contracts, service agreements, and framework agreements; in banks and financial institutions drafting outsourcing, technology, and service provider contracts; in healthcare systems preparing supply, equipment, and service agreements; and in energy, utilities, manufacturing, construction, retail, and service organizations managing commercial, supply, project, and service contracts. Senior managers who approve contract terms and professionals responsible for maintaining contract templates and clause libraries will also benefit from the course.
