Course Overview

The Board Secretary & Corporate Governance Officer Training Course equips board secretaries, company secretaries, corporate governance officers, and governance professionals with the knowledge and practical skills needed to support effective boards and committees, ensure compliance with governance laws, regulations, and codes, manage the board and general assembly cycle, and act as trusted advisors on governance matters. In listed companies, banks, insurance companies, government-related entities, state-owned enterprises, family businesses, and nonprofit organizations, the board secretary plays a central role in the quality of board decision making, the accuracy of corporate records, and the organization's governance reputation. Regulators and investors increasingly expect professional, independent, and well-informed board secretaries who can manage complex governance requirements and support directors effectively. The course covers the board secretary and governance officer role from legal foundations to advanced practice. Participants learn the role, responsibilities, independence, and reporting lines of the board secretary, the legal and regulatory framework for corporate governance, recognized international governance principles, and the governance requirements of companies law, capital market authorities, and sector regulators. The program then addresses board structure and composition, board and committee charters, delegation of authority, the annual board calendar, agenda setting, preparing high-quality board papers, conducting meetings, minute writing, resolutions including circular resolutions, and action tracking. Participants also examine general assemblies, including notices, quorum, voting, proxies, and electronic voting, shareholder communication, disclosure, related party transactions, conflicts of interest, and insider registers, director induction, development, and board evaluation, governance policies and the annual governance report, governance in state-owned enterprises and family businesses, ESG governance, board portals and records management, and the professional skills and ethics required to influence and advise boards. The course is delivered through governance case studies, board paper and minute writing exercises, meeting and general assembly simulations, governance compliance reviews, and role plays on handling sensitive board situations. Participants leave with an annual board and committee calendar template, a board paper template and quality checklist, a minutes and resolutions template, a general assembly checklist, and a governance compliance and annual governance report checklist.
